Partnership Disputes

 

While some business-related litigation often involves disputes between a business and an unrelated third-party, on some occasion the principal parties to a business find themselves at odds with each other, and often resort to the Courts to resolve such disputes.

 

While in a traditional partnership the parties’ relationship with each other is most often controlled by a partnership agreement, similar relationships between joint-members of a limited liability company, or shareholders to a corporation, are often controlled by operating agreements, and corporate bylaws and/or shareholder agreements, respectively.  Naturally, therefore, many such disputes between the principals of a business that escalate to a point where business litigation becomes necessary between partners to a partnership; members to a LLC; or shareholders to a corporation, center on the interpretation and enforcement of their controlling contracts, respectively.
