At the very early stages, our business attorneys evaluate the nature of our clients’ new business idea, and assist in selecting the most appropriate business entity given our clients’ needs, nature of business, and business relationships. For our clients who choose to operate their new business under a separate legal entity, our business attorneys will help determine the most appropriate entity under which our clients are recommended to operate – Foreign Corporation doing business in Arizona; Arizona Corporation; Arizona Professional Corporation; Foreign Limited Liability Company doing business in Arizona; Arizona Limited Liability Company (LLC); Professional Limited Liability Company; or Partnerships. Furthermore, our business attorneys will also assist our entrepreneurial clients with making informed tax-related decisions at the initial phases of the new business venture, taking into account various business taxation considerations, as they apply to our clients’ new business venture (i.e. S-Corp election for Corporations or LLCs).
Once a suitable legal entity is selected and created for our clients’ new operations, our business attorneys assist our clients with drafting various business contracts for the clients’ use in their normal business operations (i.e. Operating Agreements; Shareholder Agreement; Corporate Bylaws; Board Resolutions; Non-Compete/No-Disclosure Agreements; Service Agreements; Purchase/Sale Agreements, etc.), in order to streamline operations in a manner that best promotes and protects our clients’ best-interest in their usual dealings with third-parties, and minimizes potential business dispute from escalating to costly litigation.
