Business Disputes & Dissolutions
Dissolving a corporation, limited liability company, and/or a partnership may often be a complicated process. When the principal parties of a business – shareholders/board members in corporations; members in a LLC; or partners in a partnership – are all in agreement, Court involvement may not be necessary, and the process can instead be accomplished by reducing the parties’ understandings to a written contract form, and by filing the proper documentation with proper state agency where the articles of incorporation/organization of the dissolving entity were originally filed (with the Arizona Corporation Commission in Arizona).
When a dispute arises between the principal parties to an entity, our business attorneys assist our clients in their attempts to resolve any such differences by assessing each party’s respective position in light of any controlling language contained in existing legal contracts, if any – corporate bylaws, operating agreements, and/or partnership agreements – or other applicable statutes.
To the extent that the nature of any given dispute is not specifically addressed in a controlling legal contract, if any, our business attorneys assist and encourage the parties’ participation in Alternative Dispute Resolution methods – Mediation and/or Arbitration – in an attempt to negotiate resolutions to any such impasses with opposing parties.
In the event a resolution to a business dispute is not reached by way of Alternative Dispute Resolution methods, our business attorneys may resort to business litigation in order to promote, protect, and enforce our clients’ best interests and legal rights in Court.
